These Terms of Service ("Terms" or "AGB") govern your use of the AI voice agent services provided by goSNOB.ai, a Swiss legal entity with registered office in Basel-Stadt, Switzerland ("Company," "we," "us," or "our").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Data Processing Addendum (DPA). If you do not agree, you are not permitted to use the Service.

Applicable Law Notice: These Terms are governed by Swiss law. For Customers resident in the European Union, certain mandatory consumer protection provisions of EU law (including GDPR) may also apply.

Section 1 Overview
1.1 The Service

The Service includes our AI-powered voice agent platform, including all associated features, dashboards, analytics, knowledge base management, calendar integrations, and related functionality. The Service enables you to deploy automated voice agents to handle inbound and outbound calls for your business.

1.2 Managed Service Approach

We provide a fully managed solution. We handle agent configuration, workflow setup, prompt engineering, and technical optimization. You retain control over user-level settings including knowledge base content, calendar availability, and dashboard preferences.

1.3 Hosting Options

We offer three hosting tiers for Customer Data:

  • Tier 1 — Default EEA hosting (applies by default)
  • Tier 2 — Swiss-hosted (available on request, subject to separate written agreement and applicable fees)
  • Tier 3 — On-premise or Customer-controlled private cloud (available on request, subject to separate technical scoping and commercial agreement)
1.4 Document Structure

These Terms are the master agreement. The following documents are incorporated by reference:

  • Privacy Policy — public commitment to data privacy practices
  • Data Processing Addendum (DPA) — technical and legal terms governing the Processing of Personal Data

In case of conflict, the incorporated document prevails within its specific subject matter.

1.5 Modifications to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use after changes become effective constitutes acceptance. If you do not agree, you must discontinue use and may cancel your subscription in accordance with Section 13.

Section 2 Eligibility

By using the Service, you represent and warrant that:

  • You are at least 18 years old or have reached the age of majority in your jurisdiction
  • You have not been previously suspended or removed from the Service
  • Your use of the Service complies with all applicable Swiss and international laws
  • If using the Service on behalf of a business entity, you have authority to bind that entity to these Terms
Section 3 Account Registration
3.1 Account Creation

To access the Service, you must create an account by providing accurate and complete information including your name, business details, contact information, and payment details. You agree to keep this information current and accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access.

3.3 Account Suspension or Termination

We reserve the right to suspend or terminate your account immediately if you violate these Terms, fail to pay fees when due, engage in fraudulent activity, or use the Service in ways that could harm our operations, reputation, or other users.

Section 4 Service Plans, Pricing & Payment
4.1 Subscription Plans
  • GoSTART: 333 CHF per month. Includes 300 call minutes. Additional minutes at 0.25 CHF per minute.
  • GoFULL: 777 CHF per month. Includes 2,000 call minutes. Additional minutes at 0.15 CHF per minute.
  • Corporate (Custom): Tailored scope and pricing on request.

Pricing, included minutes, and plan features are subject to change with 30 days' advance notice to existing subscribers.

4.2 Payment Processing

All payments are processed via Stripe. By subscribing, you authorize us to charge your designated payment method for all applicable fees.

4.3 Billing Cycle

Your billing cycle begins on the date you subscribe and renews automatically each month unless cancelled. Charges occur at the start of each billing period.

4.4 Additional Usage Charges
  • Call Minutes: If you exceed your included minutes, additional minutes are charged at the per-minute rate specified in your plan.
  • Auto Top-Up (Optional): Automatic top-up of call minutes when balance runs low.
  • Telephony Services: Phone numbers, international routing may be purchased separately.
  • Customization and Consulting: Scoped and billed separately from subscription fees.
4.5 Auto-Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date.

4.6 Price Changes

We may modify subscription prices with 30 days' advance notice. If you do not accept the new pricing, you may cancel before the next renewal date.

4.7 Taxes

All fees are exclusive of applicable taxes (including Swiss VAT/MWST). You are responsible for all taxes associated with your use of the Service.

4.8 No Refunds

All fees are non-refundable. If you cancel mid-billing period, you retain access until the end of that period but no prorated refund will be issued. This does not affect any statutory consumer rights under Swiss law.

4.9 Late Payment

If payment fails or is late, we may suspend access to the Service until payment is received. You remain liable for all outstanding amounts plus any collection costs or late fees permitted under Swiss law.

Section 5 Acceptable Use & Compliance
5.1 Compliance with Laws

You agree to use the Service in compliance with all applicable laws, including:

  • Swiss Telecommunications Act (FMG) and associated regulations
  • Swiss Federal Act on Data Protection (FADP) and GDPR (when applicable)
  • Swiss Unfair Competition Act (UWG)
  • EU ePrivacy Directive and member state implementations
  • Any applicable telemarketing, robocall, or automated calling regulations
5.2 Required Consents

You are solely responsible for obtaining all legally required consents before making calls through the Service, including consent for automated or AI-generated calls, consent for call recording, opt-in consent for marketing calls, and compliance with do-not-call registries.

5.3 Call Content Obligations

All content you provide for voice agents must be accurate, non-misleading, free of third-party IP violations, lawful, and compliant with applicable advertising and consumer protection laws.

5.4 Prohibited Uses

You may not use the Service to:

  • Make unsolicited marketing calls without proper consent
  • Impersonate others or misrepresent your identity or affiliation
  • Harass, threaten, or abuse call recipients
  • Collect Personal Data without proper legal basis
  • Violate any applicable telemarketing or privacy laws
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to reverse-engineer, decompile, or hack the Service
  • Resell or sublicense the Service without our express written consent
5.5 Monitoring and Enforcement

We reserve the right (but have no obligation) to monitor Service usage and call content for compliance. We may suspend or terminate accounts that violate this Section without notice or refund.

Section 6 Your Content and Data
6.1 Ownership

You retain all ownership rights to content you provide through the Service, including call scripts, knowledge base materials, customer data, and business information ("Your Content").

6.2 License to Us

By providing Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit Your Content solely to provide and improve the Service, in accordance with our Privacy Policy and the DPA.

6.3 Your Responsibilities

You are solely responsible for the accuracy and legality of Your Content, obtaining all necessary rights and consents, backup of Your Content, and ensuring Your Content does not violate third-party rights.

6.4 Call Recordings and Analytics

Call recordings and transcripts are retained for a maximum of 90 days by default, configurable downward by you. Extended retention is available on request. You may access and download your recordings through your dashboard during the active term.

Section 7 Intellectual Property
7.1 Our Rights

All rights, title, and interest in the Service, including all software, designs, trademarks, algorithms, prompts, configurations, and documentation, are owned by us or our licensors. These Terms grant you no ownership rights.

7.2 Your Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Restrictions

You may not copy, modify, reverse-engineer, remove proprietary notices, use our trademarks without permission, or frame any part of the Service.

7.4 Feedback

If you provide suggestions or feedback about the Service, we may use such feedback without obligation or compensation to you.

Section 8 Data Protection & Privacy
8.1 Privacy Policy and DPA

Our collection, use, and protection of Personal Data is governed by our Privacy Policy and our Data Processing Addendum (DPA), both incorporated into these Terms by reference.

8.2 Your Role as Data Controller

When you use the Service to Process Personal Data of your end-callers or end-users, you act as the Data Controller under applicable data protection law. We act as your Data Processor.

8.3 Sub-Processors

We engage sub-processors to deliver the Service. The current list is set out in the DPA, Annex III. Changes to sub-processors are notified in accordance with the DPA, Section 4.4.

8.4 International Transfers

Personal Data may be transferred outside Switzerland or the EEA. Transfer safeguards (EU SCCs, Swiss Addendum, UK IDTA where applicable) are set out in the DPA, Section 5.

Section 9 Service Availability & Support
9.1 Service Availability

We strive to maintain high Service availability but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" subject to Section 11.

9.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects Service availability. Where possible, we will provide advance notice and schedule maintenance during low-usage periods.

9.3 Support

Support is provided via email at team@gosnob.ai during Swiss business hours (Monday–Friday, 09:00–17:00 CET/CEST, excluding Swiss public holidays).

Section 10 Indemnification

To the fullest extent permitted by Swiss law, you agree to indemnify, defend, and hold harmless goSNOB.ai, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms, the Privacy Policy, or the DPA
  • Your violation of any applicable laws or regulations
  • Your Content or calls made through the Service
  • Claims by third parties related to your use of the Service
  • Your failure to obtain required consents or comply with data protection laws
Section 11 Warranties & Disclaimers
11.1 Limited Warranty

We warrant that the Service will perform substantially in accordance with its documentation under normal use. This warranty does not cover issues caused by misuse, unauthorized modifications, or factors beyond our reasonable control.

11.2 Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY STATED IN SECTION 11.1, AND TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED RESPONSES WILL ALWAYS BE ACCURATE OR APPROPRIATE.
11.3 Consumer Rights

Nothing in these Terms excludes or limits warranties or remedies that cannot be excluded or limited under Swiss consumer protection law.

Section 12 Limitation of Liability
12.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY SWISS LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
12.2 Liability Cap
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12.3 Data Breach Sub-Cap
FOR CLAIMS ARISING FROM A PERSONAL DATA BREACH AFFECTING CUSTOMER DATA, OUR AGGREGATE LIABILITY MAY BE INCREASED TO TWO TIMES (2X) THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.
12.5 Exceptions

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, gross negligence or willful misconduct, or any other liability that cannot be excluded under Swiss law.

Section 13 Term & Termination
13.1 Term

These Terms begin when you first access the Service and continue until terminated in accordance with this Section.

13.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You must provide notice at least 30 days before your next renewal date.

13.3 Termination by Us

We may terminate or suspend your access immediately, with or without notice, if you breach these Terms, fail to pay fees, your use poses security or legal risks, or we cease offering the Service (with 90 days' notice).

13.4 Effect of Termination

Upon termination, your right to use the Service immediately ends. You have 30 days from termination to download your call recordings and data. Deletion of Customer Data follows the timelines set out in the DPA, Annex IV.

13.5 Survival

Sections 4, 6, 7, 10, 11, 12, and 15 survive termination.

Section 14 Dispute Resolution
14.1 Governing Law

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of law provisions and the CISG.

14.2 Jurisdiction

The courts of Basel-Stadt, Switzerland, shall have exclusive jurisdiction over any disputes arising from these Terms. We may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

14.3 Consumer Disputes

For consumers resident in Switzerland, mandatory consumer protection provisions apply. For consumers resident in the EU, the EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

14.4 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at team@gosnob.ai to seek informal resolution.

Section 15 General Provisions
15.1 Entire Agreement

These Terms, together with the Privacy Policy and the DPA, constitute the entire agreement between you and us regarding the Service.

15.2 Amendments

We may modify these Terms as described in Section 1.5. No other amendments are valid unless in writing and signed by both parties.

15.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor without your consent.

15.4 No Waiver

Our failure to enforce any provision does not constitute a waiver. Any waiver must be in writing.

15.5 Severability

If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary, or severed. The remaining provisions remain in full effect.

15.6 Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.

15.7 Language

These Terms are drafted in English. Any translation is for convenience only. In case of conflict, the English version prevails.

15.8 Independent Contractors

You and we are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.

15.9 Third Party Rights

These Terms are solely for your and our benefit. No third party has any right to enforce these Terms.

15.10 Notices

Legal notices to you will be sent to the email address associated with your account. Notices to us must be sent to goSNOB.ai, Basel-Stadt, Switzerland, Email: team@gosnob.ai.

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, and the Data Processing Addendum.
